These terms and conditions are an agreement that govern your participation in the 2024 Engage Pharmacy Success Summit (“Engage”). Each individual attendee and exhibitor representative (“Attendee” or “You”) agrees to abide by this agreement, and agrees that the sole control of Engage rests with Liberty Software, Inc. (“Liberty”). Attendee understands and acknowledges that Liberty may render final and binding decisions with respect to the interpretation of this agreement as well as eligibility and participation in this event. Engage is a private business event. Liberty monitors registration and attendance. Registration and/or attendance may be denied to any person or entity by Liberty in Liberty’s sole discretion.

REGISTRATION QUALIFICATION
Registration for Training Workshops on Friday, March 8, 2024, is available to employees of pharmacies with an active license of the Liberty platform or employees of pharmacies who have signed for a license of the Liberty platform but have not yet installed.
Registration for Leadership Seminars on Saturday, March 9, 2024, is available to employees of: i) an independent pharmacy; ii) a small pharmacy chain (less than 200 locations); iii) 340B pharmacies; iv) Federally Qualified Health Center Pharmacies; or v) Outpatient Hospital System pharmacies; and other individuals by special invitation of Liberty.

ATTENDEE BADGES
Attendee shall be required to wear an Engage badge at all times while attending Engage. Attendee shall pick up his/her own badge from onsite Engage registration. To pick up a badge, all registration fees must be paid in full, and Attendee must present a government-issued form of photo identification (i.e., driver’s license or passport) matching the name on the Attendee registration.

Only the Attendee can use his/her designated badge; except for permitted registration transfers/substitutions (“REGISTRATION TRANSFERS”) below. Attendee shall not share, donate, sell or otherwise transfer the badge to any other party(ies). Liberty reserves the right to revoke any badge it determines is being used improperly. If Liberty revokes a badge, Attendee shall not receive any form of refund or compensation. If a badge is lost or stolen, Attendee must notify Liberty staff. Liberty may issue replacement badges at it’s sole discretion. Badge reprints may be subject to a fee up to the onsite registration fee.

REGISTRATION CANCELLATION
Cancellations are subject to the entire Engage registration fee. All sales are final. No payments will be refunded or refundable, unless otherwise expressly stated by Liberty. Please note that if you do not cancel and do not access or attend the Liberty meeting or event, you are still responsible for payment. In no event shall Liberty be obligated to refund all or a portion of the registration fee.

REGISTRATION TRANSFERS
Prior to March 1, 2024, an individual Attendee may transfer his/her registration to another person within the same company. To do so, such Attendee must submit a written request to Liberty. Each individual attendee is permitted only one substitution/transfer.

NOTE: Transferring a registration does not automatically transfer a hotel reservation and/or other travel commitments. All individual attendees are responsible for handling hotel cancellations and/or modifications to other travel commitments.

HOTEL ROOM RESERVATIONS
Liberty will provide a link to book a room at the event hotel. Attendee is responsible for making his/her own hotel and travel arrangements. Hotel reservations are on a first-come, first-served basis and sell out early. Liberty recommends that Attendees reserve rooms upon receipt of the Engage registration confirmation e-mail. Liberty cannot guarantee that Attendee will have a discounted rate at the hotel. Attendee must contact the hotel directly to make changes to a hotel reservation. Attendee shall comply with the hotel’s policies including deposit and cancellation policies.

CONDUCT
You agree that Liberty reserves the right to remove You from Engage if Liberty, in its sole discretion, determines that Your participation or behavior creates a disruption or hinders Engage or the enjoyment of the Engage event by other participants. Additionally, any Attendee shall be removed from the Engage event immediately for the following behavior: i) Offensive or unwanted behavior or language; ii) making Engage content available to a Liberty competitor; iii) sharing Your Engage registration with another person; iv) failure to follow any rules or regulations of Liberty or the event hotel; or v) failure to follow any instructions of Liberty or event hotel staff.

PHOTOGRAPHY/VIDEO/AUDIO
By attending Engage, Attendee consents to having their images, voice, likeness, presentation, and/or other copyrightable materials recorded in any medium, including but not limited to video, audio, and still photography. Liberty reserves the right to use any material and/or recordings taken at Engage at any time, and without giving Exhibitors additional notice or any compensation.

CONFIDENTIALITY
Attendee acknowledges and agrees that Engage, by its nature, is designed to provide information regarding certain aspects of Liberty’s business operations, including but not limited to program offerings, sales information, pricing, strategies, and future developments, all of which are considered Liberty’s “Confidential Information”. Regardless of how Attendee obtain Confidential Information, whether through written documentation, visual observation, oral presentation, or by any other means, Attendee agrees to (a) protect the Confidential Information of Liberty with at least the same degree of care used to protect their own most confidential information; (b) not use, publish, or disclose to third parties such Confidential Information; and (c) promptly deliver to Liberty or destroy all copies of Liberty’s Confidential Information upon the request of Liberty. Confidential Information shall not include information already known to the recipient at the time of disclosure, or information that is or in the future becomes publicly known other than as a result of a breach of this section.

AMENDMENT TO TERMS AND CONDITIONS
Liberty may, in its sole discretion and without prior notice, amend these terms and conditions. Any such changes shall be binding upon Attendee and shall be posted on the event webpage.

MISCELLANEOUS
This agreement will be governed and constructed by the laws of the State of Texas without regard to its conflict of laws provision. The exclusive venue for any dispute relating to this agreement shall be Tarrant County, Texas. This agreement contains the entire agreement of, and supersedes any and all prior understandings, arrangements, and agreements between the parties, either oral or written, with respect to the subject matter hereof. Any provision of this agreement, which is unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such prohibition or unenforceability, without invalidating the remaining provisions hereof. Neither party may assign this agreement without the other party’s prior written consent.
